TERMS OF SERVICE
Last updated October 10, 2026 - Version v10
AGREEMENT TO OUR LEGAL TERMS
We are Philipp Fanta, trading as Web2Labs ("Company," "we," "us," "our"), a sole proprietorship (Einzelunternehmen), with the following contact address:
Web2Labs
c/o Autorenglück #33004
Albert‑Einstein‑Straße 47
02977 Hoyerswerda
Germany
We operate the website https://www.web2labs.com (the "Site"), as well as any related products and services that refer or link to these legal terms (the "Legal Terms") (collectively, the "Services"). You can contact Philipp Fanta at +49 6223 4240111, by email at [email protected] or via the support options within your account.
These Legal Terms govern the agreement between you and Web2Labs when you accept them during registration or purchase. Merely visiting publicly accessible pages does not create a paid subscription. Before you accept, you can read and save these Terms. If you do not agree to the Terms required for an account or purchase, do not complete that registration or purchase.
Changes to these Legal Terms. We will notify you of proposed material changes at least 30 days in advance via in-product notice and/or email to your account email address and request your agreement where required. Silence or continued use alone does not constitute agreement to a change to your existing contract. Without your agreement, the existing contract continues on its agreed terms unless a change is permitted by law or the contract is lawfully terminated. Corrections that do not change contractual rights or obligations may be published immediately. Changes to digital products are subject to Section 31 and mandatory law.
Eligibility. Accounts, purchases and participation in Web2Labs features are available only to people aged 18 or older, with legal capacity to enter the relevant agreement. We do not offer accounts for minors or a parental-consent exception. You must expressly confirm that you are at least 18 before using account features. A declaration made under an earlier, lower age threshold does not count as this confirmation. Reading public legal information, contacting us, exercising data-protection rights, cancelling an existing contract and closing an account do not require an adult declaration.
We recommend printing a copy of these Legal Terms for your records.

1. OUR SERVICES
Availability depends on your location and the feature. We do not currently offer accounts or purchases to users located in the United Kingdom. Other location, payment and feature restrictions shown in the Service apply. Do not bypass those restrictions or use a feature where your use is unlawful. These rules do not transfer our own legal, registration or tax obligations to you, and availability of a public webpage is not a promise that every feature is offered in your country.
The Services are not tailored to comply with industry‑specific regulations (such as HIPAA, FISMA, or GLBA). If your interactions would be subject to such laws, you may not use the Services.
Web2Labs is a creator ecosystem. Depending on the plan and features you access, the Services may include: Studio (video editing and rendering), Materials (downloadable creative assets), Drops (periodic material crates), Skills (gamified learning), Profiles (public creator pages), Leaderboards (tiered competition), Networking (creator discovery), Merch (physical goods, where available), and related tools.
2. INTELLECTUAL PROPERTY RIGHTS
Our intellectual property
We own or license all intellectual property rights in our Services UI, software, and site content (collectively, the "Content") and our trademarks and logos (the "Marks"). For clarity, "Content" in this Section does not include the downloadable/usable creative assets we offer (the "Materials"), which are licensed under Section 10.
Our Content and Marks are protected by copyright, trademark, and other intellectual property laws in Germany, the EU, and worldwide. Subject to these Terms, we grant you a non‑exclusive, non‑transferable, revocable license to access the Services and to download/print portions of the Content you properly access for your personal, non‑commercial use or your internal business purpose. Any commercial use of Content (as defined here) requires our prior written permission.
Your submissions (Feedback)
If you send us questions, comments, suggestions, ideas, or feedback about the Services ("Feedback"), you grant Web2Labs a worldwide, perpetual, irrevocable, royalty‑free license to use, reproduce, modify and create derivative works from the Feedback to provide and improve our products and services, without attribution or compensation. Ownership of Feedback remains with you; no assignment occurs.
3. USER REPRESENTATIONS
By using the Services, you represent and warrant that:
- All registration information you submit is true, accurate, current, and complete, and you will maintain it accordingly;
- You have the legal capacity to agree to these Terms;
- Age: you are at least 18 years old; a parent or guardian cannot register or authorise a minor to use an account;
- You will comply with applicable law and these Terms, and you will not access the Services through automated or non‑human means unless expressly permitted; and
- You will not operate more than one account ("multi‑accounting" or "smurfing") to gain unfair advantage in Leaderboards, Drops, contests, free‑tier allowances, or any promotional offer.
We may suspend or terminate your account for breach of these representations.
Guests may use the tools that offer guest access after a separate 18+ declaration. This declaration is required before processing or uploading files to a tool, does not create an account and does not subscribe you to email. Reading public information and exercising legal rights remain available without it.
4. USER REGISTRATION
You may be required to register to use the Services. Keep your sign-in links, verification codes, and linked sign-in accounts secure, and notify us if you suspect unauthorized access. Responsibility for unauthorized use is determined by applicable law; you are not automatically liable for every action performed through your account. We may require a change to a username that infringes rights, impersonates another person, or violates these Terms. Section 26 applies to moderation decisions.
5. PRODUCTS
The Services may include access to:
- Software‑as‑a‑Service (SaaS) features, such as Studio and related tools;
- Digital content, including images, videos, music, sound effects, designs, and other creative works ("Materials");
- Subscriptions, which provide ongoing access to the Services, Materials, and usage credits;
- Credits, which are consumed by certain actions within the Services (see Section 8);
- Individual purchases, which allow you to license specific Materials separately from a subscription;
- Physical merchandise, where offered (see Section 16).
Products offered for new purchases are subject to availability. Existing orders and subscriptions remain subject to their agreed terms, Section 31, and mandatory law. Unless expressly identified as a physical good, products are delivered electronically. Prices for new purchases may change; see Section 7 for existing subscriptions.
6. PURCHASES AND PAYMENT
We accept payments through providers including Stripe and PayPal.
Currency. All prices are listed and charged in euros (EUR).
VAT and Taxes. Displayed consumer prices are final prices, including taxes we are required to charge; any separately payable delivery costs are shown before ordering. The German small-business exemption (§ 19 UStG), where applicable to a supply, does not remove tax obligations in another country. We remain responsible for taxes the law requires us to collect or remit. For physical goods sent across a customs border, separately payable import charges will be identified where applicable before ordering.
Payment Terms. You agree to provide current, complete, and accurate account and payment information and authorize us (or our processor) to charge your chosen method for the total amount. We may refuse or limit orders at our discretion (e.g., suspected reseller activity, chargeback history, or fraud signals).
7. SUBSCRIPTIONS
Billing and Term. Subscriptions are billed in advance for the selected period and renew automatically unless canceled.
Cancellation. You may cancel at any time via your account settings using the "Cancel Subscription" button. For consumers in Germany and the EU we also display the legally required cancellation flow in accordance with § 312k BGB („Verträge hier kündigen" → „Jetzt kündigen"). This cancellation button is accessible without login and is permanently reachable from the Site footer, in compliance with § 312k BGB. We confirm cancellation immediately (on‑screen and by email). Access continues until the end of the current paid term.
Fee Changes. The price agreed for your subscription applies unless we agree a change with you or a change is otherwise permitted by law. We will give at least 30 days' notice of a proposed price increase and request your agreement where required. Notification or continued use alone does not authorize us to charge a higher price under an existing contract.
Trials, coupons, and codes. If offered, the terms will be shown at sign‑up. Unless canceled before the end of a free trial, your subscription converts to a paid plan at the then‑applicable rate.
8. CREDITS, FREE TIER, AND USAGE LIMITS
One credit corresponds to one minute of source video. Credits are the single usage currency of the Services: Studio processing and optional add‑ons (e.g., thumbnail generation, b‑roll, re‑renders) are paid from your credit balance. Credits are included with your plan or purchased separately.
When credits are consumed (streaming billing).
- Drafts, uploads, and project activation are free. Creating a draft project, uploading a file, and activating a project do not, by themselves, consume any credits.
- Charging begins only when AI processing of your source material starts, and happens progressively, per processed segment of your source video, at the rate of one (1) credit per minute of source material. Studio displays charges as they occur.
- Add‑ons (e.g., thumbnails, b‑roll, re‑renders) are charged per unit at the time of generation, at the rates shown in the product. Rendering again after a render failure on our side is free (Section 9).
- Low balance. If your balance is insufficient to continue, processing pauses and you can top up to resume. If a paused project is not resumed within seven (7) days, it is cancelled; credits consumed for processing completed before the pause are retained. What happens to credits when something fails on our side is set out in Section 9.
Credit rules.
- Credits are a usage allowance, not a currency. They have no monetary value, are non‑transferable, and cannot be exchanged for cash. Refunds of credits and of amounts paid for credits are governed by Section 9 and your mandatory statutory rights.
- Validity. Monthly subscription credits remain valid for two (2) months from the date they are granted (rolling window), so an unused month is not immediately lost. One‑time credit packs have the validity period shown at purchase; packs identified as non‑expiring do not expire.
- Returned credits. Credits we return to your balance (for example under Section 9) keep the validity of the credits they replace. If those credits have expired or no longer exist, the returned credits are valid for thirty (30) days from their return.
- Failures on our side. If processing fails on our side (e.g., engine crash, worker loss), the credits charged for that project are refunded automatically. If only rendering fails after processing has finished, the processing charge stays and rendering again is free until it succeeds. Section 9 sets out the details.
- We may adjust, revoke, or re‑issue credits to correct technical errors, fraud, or abuse.
Free tier. The free tier currently includes sixty (60) credits per month and may be subject to feature limits (such as watermarked exports after the first export). Free‑tier allowances are provided at our discretion and may change with reasonable notice. Credit top‑ups may be limited to paid plans. We may revoke free‑tier access for abuse, multi‑accounting, automated use, or circumvention of paid features.
Example project. Each account can run one example project, using a sample video we provide, free of charge and at any credit balance. This allowance exists once per account: it is used when the example project is created, and deleting or archiving the example, or an example run that fails or finds nothing to deliver, does not restore it. If the example cannot be handed to our processing system at all, the allowance is returned. Further example requests are declined and consume no credits. Creating additional accounts to obtain further example projects is not permitted (Section 3).
9. REFUNDS POLICY
30‑day "no‑questions‑asked" refund (new users, one‑time). If you are a first‑time purchaser of a paid Web2Labs subscription, you may cancel and request a full refund within 30 days of your first subscription purchase — no questions asked. This guarantee:
- applies once per customer, for the very first subscription purchase only (not to renewals, plan changes, re‑subscriptions after a previous cancellation, additional accounts, or credit top‑ups);
- does not cover one‑time purchases of Materials once delivery has begun (see EU withdrawal rules below);
- may be refused in cases of suspected fraud, abuse, policy violations, or repeated refund behavior.
This 30‑day commercial guarantee does not affect your mandatory statutory rights (including the EU/EEA withdrawal right below). You can request a refund using the "Request Refund (30 days)" button in your account (Subscription page), or by contacting us via [email protected] or in‑app chat.
Consumer withdrawal instructions. If you are a consumer and a statutory withdrawal right applies, you may withdraw from this contract within 14 days without giving a reason. For services and digital content not supplied on a tangible medium, the period starts on the day the contract is concluded. For goods, it starts when you or a person you nominate, other than the carrier, receives the goods; if goods in one order are delivered separately, it starts on receipt of the last item. The period does not begin before you receive the legally required withdrawal information. Statutory extensions and exceptions remain applicable.
To exercise withdrawal, inform Philipp Fanta, trading as Web2Labs, c/o Autorenglück #33004, Albert-Einstein-Straße 47, 02977 Hoyerswerda, Germany, or [email protected], by an unequivocal statement, for example a letter or email. You may use the model form below, but you do not have to. You may also use our public Vertrag widerrufen function without signing in; we will promptly send an electronic acknowledgment containing the declaration and its receipt date and time. It is sufficient to send your withdrawal statement before the period expires. You may identify the whole contract or the part you wish to withdraw from.
Effects of withdrawal. We will reimburse payments received under the withdrawn contract, including the cost of our least expensive standard delivery if goods were ordered, without undue delay and no later than 14 days after receiving your withdrawal. Additional costs arising from a more expensive delivery option you selected are not reimbursed. We use the same payment method as the original transaction unless you expressly agree otherwise, and we charge no reimbursement fee. A statutory refund of money is not replaced by account credits without your agreement.
If goods must be returned, send them back without undue delay and within 14 days after informing us of your withdrawal. The deadline is met if you send the goods before it expires. You bear the direct return cost only if this was disclosed before purchase. For goods, we may withhold reimbursement until we receive the goods or evidence that you sent them back, whichever is earlier. You are responsible for diminished value only to the extent caused by handling beyond what is necessary to establish the goods' nature, characteristics and functioning and where the statutory conditions are met. Standard print-on-demand goods are not automatically excluded: the exception in § 312g(2), no. 1 BGB applies only to goods made to your specifications or clearly personalized where its requirements are met.
Services and immediate performance. Studio subscriptions, processing and service credits provide digital services. Starting those services does not by itself end your withdrawal right. At checkout we ask, with an unticked separate control, for your express request that performance begin before the withdrawal period expires and your acknowledgment that the right expires only upon full performance of the contract, where the requirements of § 356(5) BGB are met. Activation or allocation of a monthly credit pool alone is not full performance of the ongoing subscription.
If you requested an early start and withdraw before full performance, proportionate compensation for services actually supplied is payable only where the statutory conditions are satisfied, including the required information about withdrawal and compensation (§ 357a(2) BGB). It is calculated against the agreed total price for what was supplied up to your withdrawal, subject to statutory limits. For subscriptions this normally reflects the service period actually provided; for a separately purchased credit pack, completed processing or add-ons can be taken into account insofar as they are the service supplied under that contract. Unspent credits are not treated as performed service. The checkbox alone does not authorize keeping the whole purchase price, and a missing valid early-start request or required information does not create a compensation claim.
Digital content. Where a separate contract actually supplies digital content not on a tangible medium, a paid consumer's withdrawal right expires on the start of supply only if all requirements of § 356(6) BGB are met: express prior consent to early supply, acknowledgment that the right is lost when supply begins, commencement of supply, and the required contract confirmation on a durable medium under § 312f BGB. A service-start acknowledgment cannot substitute for these separate conditions. If the right remains and is exercised, no compensation is owed for the digital content supplied (§ 357a(3) BGB).
Studio processing — credit refund rules. Independently of (and in addition to) your statutory rights, the following rules apply automatically to Studio project processing. They implement one principle: you pay only for what we successfully deliver. Processing is delivered when it has finished and its result (such as the transcript and the edit, clip and caption decisions) is saved in your project. If a rendered output of that result does not reach you, the rules below apply.
- Nothing delivered: full refund. If our engine declines your source material before producing output (e.g., unsuitable or unprocessable source; where we first offer you an alternative, once you decline it), if it processes your source but finds nothing it can deliver, if our quality system withholds every result so that no output is delivered, or if processing fails on our side before it has finished (engine crash, worker loss, infrastructure failure), 100% of the credits charged for that project are refunded automatically.
- Rendering fails after processing: render again for free. If rendering fails on our side after processing has finished (for example, a render error, a render we stop because it was lost or exceeded its time limit, or a clip render in which no clip could be delivered), the processing charge stays, because its result is saved in your project. You can render that result again free of charge, as often as needed until it succeeds; these renders are not charged as re-renders. If a paid re-render fails on our side, the credits charged for it are refunded.
- Some clips delivered: render the rest again for free. If a render of several clips delivers at least one clip while our final quality check holds other clips or they fail to render, the project counts as delivered and nothing is refunded. The delivered clips remain available, and each held or failed clip can be rendered again individually, free of charge.
- If rendering keeps failing. If rendering again does not succeed, use the help option shown in your project or contact us (Section 42). If we cannot deliver the rendered output within a reasonable time, we refund the credits charged for that project.
- You cancel during processing. Credits charged for processing that had started before you cancelled are retained; nothing further is charged.
- Low balance / abandoned pause. As described in Section 8, a project paused for insufficient balance and not resumed within seven (7) days is cancelled; credits consumed before the pause are retained.
Dismiss Guarantee. In addition to the rules above, you can dismiss a delivered Studio project you are not satisfied with and get back the credits charged for it, under these conditions:
- Delivered projects only. A project is delivered when processing has finished with output and at least one result has reached you: a completed main video, or a completed export of a clip or of the main video. Projects in which no output was delivered are covered by the refund rules above. While a render of the project is still running, you can dismiss the project once that render has finished; the seven-day period keeps running meanwhile.
- Within seven days. You can dismiss a project within seven (7) days of its first delivery. Later renders do not extend this period. If the storage holding the project's files is temporarily unreachable, a dismissal cannot be completed until it is reachable again.
- Taking the result ends it early. You can no longer dismiss a project once a download of any of its files has started, even if the download was interrupted, or once a publication of the project to a platform has started uploading or is live. Watching the result inside Studio does not count as a download.
- Reason. You tell us briefly what did not work.
- Limits. You can dismiss up to three (3) projects in any 30-day period. A further dismissal is not available once the credits returned through dismissals in the preceding 30 days have reached half of the credits charged to you in that period. Credits that were charged and later returned to you for a reason other than a dismissal (for example after a failure on our side) do not count as charged. This limit never blocks your first dismissal in a 30-day period.
- Effect. We return to your credit balance all credits charged for the project that have not already been refunded. The project's files are then deleted and can no longer be downloaded or published, and pending publications of the project are cancelled. The project remains in your account marked as dismissed, together with the reason you gave. A dismissal cannot be undone. The Dismiss Guarantee returns credits, not money.
We may change or end the Dismiss Guarantee for the future by announcing it in the product at least thirty (30) days in advance. Projects first delivered before the change takes effect keep the conditions that applied when they were delivered.
These rules and the Dismiss Guarantee do not limit your mandatory statutory rights, including your warranty rights for digital products (§§ 327 ff. BGB) and the withdrawal rights above.
You may exercise withdrawal using the Model Withdrawal Form below or any clear statement. In accordance with § 356a BGB, we provide a Withdrawal Button ("Vertrag widerrufen" → confirmation step) that is accessible on the Site without login during any applicable withdrawal period.
Access after cancellation. If you cancel a subscription, you retain access until the end of the paid term.

10. DIGITAL CONTENT LICENSE (MATERIALS)
When you purchase or download Materials (either individually or via an active subscription), we grant you a worldwide, non‑exclusive, non‑transferable, perpetual license to use the Materials for lawful personal or commercial purposes, subject to the restrictions below. You may continue using Materials after your subscription ends, provided you obtained them while your subscription was active. Section 2 does not apply to Materials.
Restrictions. You may not:
- sell, sublicense, redistribute, or make the Materials available as standalone files;
- use previews, watermarked versions, or demos except for evaluation prior to purchase/download;
- share the Materials in a way that allows extraction as standalone files;
- remove, alter, or obscure any copyright notices, watermarks, or rights‑management information, or circumvent technical protection measures;
- use the Materials for any illegal activity or in a way that infringes third‑party rights.
Sensitive‑use & endorsement. If Materials depict recognizable people, brands, or properties, you must not:
- use them in pornographic, sexually explicit, or adult entertainment contexts;
- use them to make medical/health, political, or other sensitive claims about a depicted person;
- use them in a way that is defamatory, deceptive, or violates privacy/publicity rights;
- suggest that any person, brand, or property endorses a product, service, political party/candidate, or viewpoint without separate, specific permission.
AI/ML training using Materials. You may use Materials to train, fine‑tune, or evaluate AI/ML models for your own internal creative work or for the content you publish. You may not (a) use the Materials as primary training data to build and redistribute foundation‑model weights or (b) build a dataset whose primary value derives from our Materials and offer that dataset to third parties. Any such use requires separate written permission.
Modifications. You may adapt, remix, or modify Materials for your projects, but modified versions may not be sold or distributed as standalone content libraries.
Ownership. All Materials remain the property of Web2Labs or its licensors; you receive a license, not ownership.
License survival on termination. Ending your account or subscription does not by itself revoke the license to Materials lawfully obtained before termination. Use must continue to comply with this Section. If particular Materials are used in breach of their license, we may enforce the restrictions and remedies that apply to that breach; an unrelated account breach does not automatically revoke every Materials license.
11. AI AND AUTOMATED PROCESSING
Studio and related Services use automated and AI/ML systems to transcribe, segment, score, cut, render, zoom, caption, detect fillers or profanity, generate thumbnails, and produce other outputs from files you upload. By using these features, you acknowledge:
- Automated processing. Your uploaded files (video, audio, images, transcripts) and prompts you submit are processed by automated systems. Some steps may be performed by third‑party AI providers acting as sub‑processors on our behalf. The current list of sub‑processors is described in our Privacy Policy.
- Accuracy. AI outputs may contain errors, omissions, or hallucinations. You are responsible for reviewing outputs before publishing, and we do not warrant that any AI output is accurate, complete, non‑infringing, or fit for a particular purpose.
- No training on your Contributions without consent. We do not use your uploaded files or their derivatives (transcripts, cuts, captions, scores) to train foundation or general‑purpose AI models for resale or third‑party use. We may use aggregated, de‑identified signals to improve our own Services (e.g., tuning detectors, measuring quality) as described in Section 38.
- Automated moderation notice (DSA Art. 14 & 17). We use automated checks for submitted comments and account-abuse signals. These may prevent a comment from being published or restrict participation in rewards. Creative editing features, such as profanity removal from your own footage, are separate from moderation. Section 26 explains the reasons and review process for moderation decisions.
- Prohibited inputs. You must not upload content you do not have rights to, content that sexualizes minors, content depicting real non‑consenting people in sexual contexts, biometric identifiers of third parties, or other material whose processing would be unlawful.
12. AI‑GENERATED OUTPUTS AND OWNERSHIP
Subject to payment and compliance with these Terms, Web2Labs does not claim ownership of AI‑generated outputs produced by the Services from your own inputs (e.g., cuts, subtitles, rendered videos, generated thumbnails derived from your footage). As between you and Web2Labs, such outputs are yours, and we grant you whatever rights we may have in them so you can use them for any lawful purpose.
Caveats.
- You must have the rights to the inputs you provide. Our grant cannot transfer rights we do not have.
- Outputs may be subject to Materials licenses where the output incorporates our Materials (e.g., stock music, overlays, intro/outros). Those remain governed by Section 10.
- AI outputs may not be copyrightable in some jurisdictions when generated without sufficient human authorship. We make no representation about the copyrightability of any particular output.
- You remain responsible for ensuring your use of outputs complies with applicable law (including publicity, defamation, and IP law).
AI transparency and labelling (EU AI Act). Under Regulation (EU) 2024/1689 (AI Act), Article 50, AI‑generated or AI‑manipulated content may be subject to transparency obligations when it is published — in particular, deep fakes and other artificially generated or manipulated audio, image, or video content may have to be disclosed as artificially generated or manipulated. When you publish outputs, you are responsible for complying with the disclosure obligations that apply to you as the publisher/deployer under Art. 50(4) AI Act and any comparable law, as well as with the AI‑disclosure rules of the platforms you publish to (e.g., YouTube, TikTok, Instagram). Where the Services embed visible or machine‑readable AI markings or watermarks in outputs, you must not remove, alter, or obscure them except where expressly permitted by law.
Your obligations as a publisher do not replace any obligations that apply to Web2Labs as a provider or deployer of an AI system. Whether a particular output requires disclosure depends on the feature, the nature of the content, and how it is used; using an editing tool alone does not mean every output is a deep fake.
13. LEADERBOARDS, CONTESTS, AND PRIZES
The Services may include Leaderboards (weekly, monthly, or seasonal rankings across leagues/tiers) and contests where participants may receive rewards, including badges, credit bonuses, featured placement, or physical prizes (e.g., merch) where we offer them.
Eligibility. Participation is limited to users in good standing aged 18 or older in locations where the relevant feature is offered. Participation may be further restricted by jurisdiction where law requires, including countries where prize promotions are prohibited or require licensing. The general UK exclusion also applies.
Scoring and rankings. Rankings are calculated by our scoring engine using the rules for the relevant period. We may correct demonstrable errors or enforce those rules against abuse, including by recomputing affected results. A later rule change does not by itself justify removing results earned under earlier rules. Material enforcement decisions can be appealed under Section 26. See the Leaderboard Teilnahmebedingungen for participation and rewards.
Anti‑gaming and disqualification. We use automated and manual anti‑gaming controls, including rate limits, account‑age thresholds, unique‑claim rules, device and network heuristics, and smurf detection. We may disqualify, reset, downgrade, ban, or withhold prizes from any user we reasonably believe has engaged in:
- multi‑accounting or smurfing;
- purchased or inauthentic engagement;
- automated or scripted interaction;
- collusion, vote trading, or prize hoarding;
- circumvention of anti‑gaming systems;
- any violation of these Terms.
Our determinations are made in good faith and are final, subject to the appeal process in Section 26 and your mandatory statutory rights.
Prizes. For any physical prize we distribute: (a) prizes are non‑transferable and cannot be exchanged for cash unless required by law; (b) we bear only the cost of producing and shipping the prize to the address you provide; (c) any taxes, duties, or import fees associated with the prize are your responsibility except where local law says otherwise; (d) we may substitute a prize of equal or greater value if the original is unavailable; (e) we may publish winners' usernames and public profile data for transparency.
No gambling. Leaderboards and contests are skill/activity‑based. Entry does not require payment beyond the ordinary subscription/free‑tier access to the Services, and outcomes are not determined by chance in a way that would constitute gambling under German or EU law. The Leaderboard Teilnahmebedingungen govern participation in the Leaderboards and their rewards; separate supplemental Teilnahmebedingungen may apply to specific prize promotions and will be linked from the relevant feature before the promotion starts.
14. DROPS AND VIRTUAL ITEMS
The Services may include Drops — periodic crates containing Materials, cosmetic items, or other virtual content, which may be assigned rarity tiers (e.g., common, rare, epic). Drops are generated based on your profile and activity, and are intended as a motivational feature, not a chance‑based purchase product.
Rules applicable to Drops and virtual items:
- Drops, rarities, and virtual items are granted under a license, not sold. You do not own them; you receive limited rights to use them within the Services and, where they contain Materials, the Materials license in Section 10.
- Virtual items and rarities have no monetary value, are non‑transferable (except where we provide explicit transfer features), non‑refundable, and cannot be exchanged for cash.
- We may adjust, revoke, re‑roll, reset, or retire drops, tiers, items, or the drop algorithm at any time without compensation, except as required by mandatory consumer law.
- Drops are not a paid randomized purchase ("loot box") and are not sold individually for money. Where required by law (e.g., the German JMStV), we disclose the presence of randomized rewards in our product information.
- Drops are unavailable in jurisdictions where they would be unlawful.
Drops are available only to eligible adult account holders.
15. PROFILES AND SOCIAL‑MEDIA DATA
The Services may include public Profile pages and crawl publicly available social‑media metrics (e.g., follower counts, post counts, engagement) from platforms you list on your profile, in order to display growth statistics, populate leaderboards, and power creator discovery.
By listing a social handle on your Web2Labs profile, you authorize us to:
- fetch and cache publicly available information and metrics from that handle;
- display those metrics on your profile and aggregate them into Leaderboards and creator discovery;
- refresh them on a schedule we choose.
Limits.
- We do not request private login credentials to third‑party platforms, and we do not access content that is not publicly available.
- Scraped metrics may be delayed, incomplete, or inaccurate due to third‑party platform behavior. We make no warranty of accuracy.
- If a third‑party platform's terms or rate limits require us to stop collecting data for a handle, we will comply and the corresponding metrics may disappear.
- You can disconnect a handle at any time via your profile settings.
Third parties. If your profile, or the content you link to, contains personal data about other people (e.g., collaborators featured on your channel), you represent that you have the necessary rights or lawful basis to share that data with us.
16. MERCH AND PHYSICAL GOODS
Where we offer physical merchandise (e.g., print‑on‑demand apparel, mugs, stickers), the following applies in addition to the general purchase terms:
- Fulfillment. Orders are produced and shipped by print‑on‑demand or fulfillment partners. Production and delivery times shown at checkout are estimates and may vary.
- Shipping costs, customs, and import fees are the buyer's responsibility unless stated otherwise.
- Withdrawal right (EU/EEA). Standard 14-day withdrawal applies from the day of receipt unless a statutory exception applies. Goods made to your specifications or clearly personalized (for example, a mug printed with your username) may fall within § 312g(2), no. 1 BGB. Merely producing a standard item after an order does not qualify for that exception.
- Legal conformity. Physical goods benefit from the statutory legal guarantee of conformity (Gewährleistung) under German/EU law. Contact us at [email protected] to report defects.
- Risk of loss passes to you (as consumer) on delivery to you.
17. NETWORKING FEATURES AND COMPANY BRANDING
Where the Services include networking/discovery features (profiles, directories, creator connections), you grant us a limited, revocable, non‑exclusive, royalty‑free license to display your company or creator name, handle, avatar, and logo inside the Services to enable user‑to‑user interaction and discovery.
We will not use your name or logo in external advertising without separate consent. You may request we stop in‑product display at any time via support; we will do so within a reasonable period, subject to already‑cached search indices and copies lawfully created by other users before removal.
18. PROHIBITED ACTIVITIES
You may not access or use the Services for any purpose other than that for which they are made available. In addition to your other obligations, you may not:
- attempt to defraud, mislead, or obtain account information from us or other users;
- upload malicious code, spam, or disruptive content;
- use automated tools (bots, scrapers, scripts) without permission, including against Leaderboards or Drops;
- interfere with Service software or reverse engineer it except to the extent permitted by mandatory law;
- collect data from the Services without authorization;
- use the Services to compete with us or for unauthorized commercial purposes;
- remove, alter, or obscure copyright notices, watermarks, or rights‑management information;
- circumvent any technical protection measure (including DRM) applied to content;
- upload content that sexualizes minors, promotes terrorism, or is otherwise illegal;
- operate more than one account to manipulate free‑tier allowances, leaderboards, drops, or promotions;
- use outputs of the Services to impersonate real people for deceptive purposes (including non‑consensual deepfakes).
We may take action, including suspension or termination, against violations.
19. USER GENERATED CONTRIBUTIONS
The Services allow you to upload, submit, or share content such as video, audio, images, comments, profile information, and other materials ("Contributions"). You are solely responsible for your Contributions and confirm that you own or have the necessary rights; that they do not infringe IP, privacy, publicity, or other rights; and that they are not unlawful, harmful, or defamatory.
We may monitor or review Contributions (including by automated means) but are not obligated to. We may remove or restrict Contributions if we reasonably believe they violate these Terms or the law. See Section 26 for notice‑and‑action, statements of reasons, and appeals.
20. CONTRIBUTION LICENSE
By uploading or submitting Contributions, you grant Web2Labs a limited, worldwide, non‑exclusive, royalty‑free license to host, store, transmit, process, display, and create necessary technical copies and derivatives of your Contributions solely as required to operate, secure, improve, and provide the Services to you — including running them through the automated processing pipelines described in Section 11. You retain ownership of your Contributions.
What this license does NOT permit:
- We do not sell your Contributions to third parties.
- We do not use your Contributions to train general‑purpose or foundation AI models for resale or third‑party use.
- We do not display your private project content publicly without your action (e.g., publishing, sharing).
This license ends when you delete the underlying content, subject to reasonable time for backup cycles, cached derivatives, and records retained to comply with legal obligations.
21. GUIDELINES FOR REVIEWS
You may be provided areas to leave reviews or ratings. When posting a review, you must: have firsthand experience; avoid offensive or discriminatory language; avoid references to illegal activity; and avoid false or misleading statements, including rating manipulation. We may accept, reject, or remove reviews at our discretion, subject to Section 26.
22. SOCIAL MEDIA INTEGRATIONS
You may link your account with third‑party social media accounts. By doing so, you grant us access to content from those accounts in accordance with your privacy settings and the authorization you provide. We are not responsible for third‑party content and you may disconnect linked accounts at any time. See also Section 15 for publicly available metric collection.
YouTube. Web2Labs uses YouTube API Services. By using the YouTube features in Web2Labs, you agree to be bound by the YouTube Terms of Service.
23. THIRD‑PARTY WEBSITES AND CONTENT
The Services may contain links to third‑party websites or content. We are not responsible for such websites or content, and inclusion of links does not imply approval or endorsement. Accessing third‑party websites is at your own risk and their terms and privacy policies apply.
24. ADVERTISERS
Web2Labs's products do not display paid third‑party advertising to users at the time of this version. If this changes, we will update this Section and the Privacy Policy with appropriate DSA transparency disclosures (including Art. 26 labeling).
25. SERVICES MANAGEMENT
We may: monitor the Services for violations; take legal action for unlawful activity; restrict or disable access to Contributions; remove excessive/burdensome files; and manage the Services to protect our rights and enable proper functioning.
26. CONTENT MODERATION, NOTICES AND APPEALS (DSA)
We comply with the EU Digital Services Act (Regulation (EU) 2022/2065) obligations applicable to us as a hosting service provider.
Notice‑and‑action (Art. 16). Anyone may notify us of content they consider illegal or in breach of these Terms by emailing [email protected] (subject: "Content Notice") with:
(a) a sufficiently substantiated explanation of why the content is considered illegal or rule‑breaking;
(b) a clear indication of the exact electronic location of the content (URL);
(c) the name and email of the notifier (not required for suspected child sexual abuse material); and
(d) a statement of good‑faith belief that the information is accurate and complete.
We will process notices diligently, objectively, and in a non‑arbitrary manner, and confirm receipt.
Statement of reasons (Art. 17). Where we restrict visibility, remove, disable, demonetize, suspend, or terminate access to Contributions or to an account, we will provide a statement of reasons explaining the decision, including whether automated means were used, the legal or contractual basis, and information on redress.
Internal complaint‑handling (Art. 20). Affected users may appeal any content‑moderation decision by emailing [email protected] (subject: "Content Appeal") within 6 months of the decision. Appeals are handled by humans, not solely by automated means, and we aim to respond within 14 days.
Out‑of‑court dispute settlement (Art. 21). You may also refer a content‑moderation dispute to a certified out‑of‑court dispute settlement body, without prejudice to your right to initiate court proceedings.
Trusted flaggers (Art. 22). Notices from bodies awarded trusted‑flagger status in accordance with Art. 22 DSA are processed with priority.
Transparency reporting (Art. 15). Where applicable, we publish annual transparency reports on our content moderation at https://www.web2labs.com/legal/transparency.
27. POINTS OF CONTACT (DSA ARTICLES 11 & 12)
Single point of contact for authorities (Art. 11). Member State authorities, the European Commission, and the European Board for Digital Services may contact us at [email protected]. Languages for communication: English and German.
Single point of contact for recipients (Art. 12). Recipients of the Services may contact us directly, by electronic means and in a user‑friendly manner, through [email protected] or the in‑app live chat inside your account. These channels are monitored by humans and do not rely solely on automated tools.
28. PRIVACY POLICY
Our Privacy Policy explains how we process personal data, recipients, retention and your rights. It is an information notice; using the Service does not give blanket consent to optional processing. Our application database is hosted in Germany. Media storage and specific processing steps can involve providers outside Germany or the EEA, as described in that notice and the provider list.
29. COPYRIGHT INFRINGEMENTS
We respect intellectual property rights.
EU/EEA notice and action. If you believe material on the Services is unlawful or infringes your rights, email [email protected] with: (a) a description of the work/content, (b) where it appears (URL/screenshot), (c) your contact details, and (d) why you believe it infringes or is unlawful. We will review, act as appropriate, and — if we restrict content or accounts — send a statement of reasons and provide an appeal path (see Section 26).
US DMCA notices. If you are in the United States, you may send a notice formatted under 17 U.S.C. § 512(c)(3) to [email protected]. We will process compliant notices and counter‑notices. Our designated DMCA agent and any updated registration details are published at https://www.web2labs.com/legal/dmca and in the U.S. Copyright Office DMCA Directory where applicable.
30. TERM AND TERMINATION
These Terms remain in effect while you use the Services.
We may suspend or terminate access for cause, including material breach or unlawful use, following notice and an opportunity to remedy the breach where required by law. For repeated or serious violations, we may suspend immediately where necessary and proportionate to protect users or the Service. If we terminate for convenience (not for your breach), paid users will receive a pro-rata refund for any unused prepaid period. The effect on Materials licenses is governed by Section 10. Mandatory termination and refund rights remain unaffected.
You may terminate at any time by canceling your account/subscription (see Section 7).
If your account is terminated for cause, you may not register a new account without our permission.
31. MODIFICATIONS AND INTERRUPTIONS
Changes needed to maintain conformity, including required security updates, remain governed by law. Beyond those changes, we may change an ongoing digital service for a valid reason such as a legal requirement, a security risk, or a necessary adaptation to third-party interfaces, provided the change is reasonable and imposes no additional cost on you. We will explain the change clearly.
For paid plans, we will give at least 90 days' advance notice of material changes or discontinuations that negatively affect core functionality, and you may cancel for a pro-rata refund of prepaid fees for the affected period. This longer notice replaces the 30-day general notice for the same event. Where § 327r BGB applies, we will inform you on a durable medium, such as email, of a more than minor adverse change, its timing, and your statutory right to terminate without charge within 30 days of receiving the information or of the change taking effect, whichever is later. The statutory exception for continued access to the unchanged product without additional cost remains applicable. These rights also apply to eligible free digital-service contracts.
We aim for high availability and target 99% monthly uptime. This is a target, not an SLA; failure to meet it, by itself, does not create a damages claim or service credits unless provided in a separate signed SLA. The Services may be unavailable due to maintenance, upgrades, or events beyond our control. Nothing in this Section limits your statutory consumer rights.
32. GOVERNING LAW
These Terms are governed by the laws of the Federal Republic of Germany (CISG excluded). If your habitual residence is in the EU and you are a consumer, you also benefit from any mandatory protections of your country of residence.
Jurisdiction. You and Web2Labs agree to submit to the non‑exclusive jurisdiction of the courts competent at our registered seat in Germany. This means you may bring a claim to enforce your consumer protection rights either in Germany or in the EU country in which you live.
33. DISPUTE RESOLUTION
You may contact [email protected] to try to resolve a dispute informally. Contacting us first is not a condition for exercising your rights or bringing court proceedings. We are not obliged, and except where required by law do not commit, to participate in proceedings before a consumer arbitration board (Verbraucherschlichtungsstelle) under § 36 VSBG. The separate content-moderation review and redress routes are described in Section 26.
34. CORRECTIONS
There may be information on the Services that contains typographical errors, inaccuracies, or omissions (e.g., descriptions, pricing, availability). We may correct such errors and update information at any time.
35. DISCLAIMER
The Services are provided on an "AS‑IS" and "AS‑AVAILABLE" basis. Nothing in these Terms limits your non‑waivable statutory rights, including legal guarantees for digital content and digital services under EU/German law (§§ 327 ff. BGB). To the fullest extent permitted by law, we disclaim warranties not required by statute, including implied warranties of merchantability, fitness for a particular purpose, and non‑infringement. We make no warranty that AI outputs (Section 11) are accurate, reliable, or suitable for any particular use.
36. LIMITATIONS OF LIABILITY
Statutory rights preserved. Nothing in these Terms limits your mandatory consumer rights.
Carve‑outs (no limitation). We are liable without limitation for: (a) intent or gross negligence; (b) injury to life, body, or health; and (c) liability under the German Product Liability Act (ProdHaftG).
Simple negligence. For damage caused by simple negligence, we are liable only for breach of essential contractual duties (Kardinalpflichten); in that case, liability is limited to foreseeable, typical damage. Any further liability is excluded.
Your own copies. Keep your original files and download outputs you need to retain. Studio provides working storage for processing and editing; it is not a personal backup or permanent archive service. This instruction does not exclude liability under this Section or reduce our statutory duties to protect data and provide the agreed service.
37. INDEMNIFICATION
Responsibility for third-party claims arising from your Contributions or use of the Services is determined by applicable law. These Terms do not impose a separate obligation to defend us, reimburse claims regardless of fault, or pay costs that the law does not require you to bear. Our statutory rights concerning a culpable breach of your obligations remain unaffected, as do your defenses and the rules on contributory fault.
38. USER DATA
We maintain and process data to operate and improve the Services and comply with law.
Processing location. Our application database is hosted in Germany. Media storage and particular processing steps can involve providers and locations outside Germany or the EEA, as described in the Privacy Policy and provider list.
Working storage and recovery. Uploaded source files, intermediate files and rendered outputs are used to provide the relevant feature. Cleanup may remove working files even while your account remains open. The applicable file-expiry information is shown in the Service. Keep your originals and download completed outputs promptly. A project record or edit decision can remain after its media has expired; restoring media may require you to upload the original file again. We do not promise indefinite storage, uninterrupted availability, or successful recovery of every expired or lost file. An individually agreed storage period and mandatory rights remain binding; this paragraph is not permission to delete paid-for content contrary to that agreement.
Scheduled publishing. Where scheduling is available, confirmation saves the reviewed video and publishing details separately from ordinary working files. The supported scheduling horizon is up to 30 days; copy retention and deletion are described in the Privacy Policy. Accepted details are fixed: cancel and review a new schedule to change them. Editing or rendering the underlying clip again can invalidate its pending schedule. The selected time is the intended start of publication; transfer, provider processing, service availability and platform restrictions can affect when the video becomes available. Check the saved status and the destination before repeating an uncertain upload. Canceling, disconnecting or deleting in Web2Labs does not remove a video already accepted or published by the destination.
Account closure and erasure. Ordinary account closure normally starts a 30-day recovery period, during which you can request reactivation through the recovery flow or [email protected]. Recovery restores available records and media where technically possible; it does not extend a media file's separate retention period. After that recovery period, scheduled erasure removes the account and associated data, subject to lawful restricted retention. An explicit request for erasure under Art. 17 GDPR enters the next scheduled cleanup without waiting for the recovery period. A failed deletion remains pending until resolved; statutory response deadlines still apply.
If your subscription ends without account closure, the account remains open and the applicable feature and retention rules continue. Contractual download or grace periods and statutory remedies are not removed by subscription expiry.
Usage Data. We may collect aggregated, de‑identified usage data for analytics, abuse detection, and service improvement (including tuning our own detectors/models that run within the Services). This does not include the personal content of your projects and is not sold or shared for third‑party AI training.
Nothing in this Section excludes liability where exclusion would be unlawful (see Section 36).
39. ELECTRONIC COMMUNICATIONS, TRANSACTIONS, AND SIGNATURES
We communicate electronically where permitted by law, including by email and in-product notices. Where the law requires a durable medium, written form, a particular signature, or another specific form, that requirement remains applicable. Agreeing to these Terms does not waive those requirements or constitute consent to marketing communications.
40. CALIFORNIA USERS AND RESIDENTS
If any complaint with us is not satisfactorily resolved, you may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N‑112, Sacramento, California 95834, or by telephone at (800) 952‑5210 or (916) 445‑1254.
41. MISCELLANEOUS
These Terms, the order information, and any additional terms expressly agreed with you govern the contract. Individually agreed terms take precedence; merely posting a new policy does not amend an existing contract. Our failure to enforce a right does not waive it. If a provision is ineffective, the remaining contract and the applicable statutory rules govern in accordance with § 306 BGB. There is no joint venture, partnership, employment, or agency relationship created by using the Services.
Assignment and transfer. Statutory rights to assign claims remain unaffected. A transfer of the contract to a different contracting party requires your consent unless the transfer occurs by operation of law. These Terms do not grant us an unrestricted right to replace your contracting party.
Export & sanctions compliance. You represent that you are not located in, under the control of, or a national/resident of any country or on any list where use of the Services is prohibited by applicable export‑control or sanctions laws. You agree not to use or export the Services in violation of such laws.
Force majeure. Neither party is liable for delay or failure to perform due to events beyond its reasonable control (including natural disasters; war; terrorism; riots; labor disputes; utility, power, or Internet failures; government action), provided it uses reasonable efforts to mitigate the impact.
Language. We provide these Terms in English only, and the English version controls in case of conflict. A non‑binding German translation may be made available for information only.
